Tailored Companies

 

A tailor-made company is normally required in cases where a shelf company is not appropriate. This may include special investment structures where certain aspects of the running of the company will be governed by the company’s constitution rather than (or in addition to) any other arrangements such as joint venture agreements.

• Power of attorney so that we can represent you
• Specimen signature of each new director for the company
• Parent company board minute
• Shareholder status statement
• Certificate of incorporation and any change of name

These documents should be signed before a notary public. Other registration matters will need to be dealt with.

• Management board composition
• The shareholder of the Polish company may not be a company that only has one shareholder. Therefore, when we are registering the company at the court two shareholders may be required however once registration is completed one shareholder can acquire all other shares.
